Is a UK LLP right for me?

We Recommend Opening a UK LLP For:

  • Entrepreneurs Seeking Simplicity and Low Costs: Ideal for those looking for a company with a tax-efficient structure, low administrative complexity, and reduced operating costs, especially when compared to other jurisdictions.
  • Professionals Needing Access to Fintechs and Payment Processors: Recommended for those seeking easy integration with major payment processors and fintechs, as well as access to the UK financial system.
  • Entrepreneurs Seeking Asset Protection: For those who desire a high level of protection for their assets, especially in cases of litigation or situations that could affect their personal wealth.
  • Remote Workers and Online Service Providers: such as dropshippers and Amazon FBA sellers, who want to optimize their business and utilize the UK financial system.

We Do Not Recommend Opening a UK LLP For:

  • Companies with Fewer Than Two Partners: The LLP is particularly well-suited for companies with two or more partners. If there is only one partner, a US LLC may be a more cost-effective option.
  • Tax Residents in High-Tax Countries: A UK LLP does not distribute dividends but passes profits directly to the partners, which may be taxed at very high rates in countries with high tax burdens, such as those in the European Union, Canada, and others. In such cases, the tax benefits of an LLP may be reduced.
  • Companies with Operations or Partners Resident in the UK: If the company has employees, operations, partners, or directors residing in the UK, the LLP will be subject to local taxation. This makes the structure less advantageous compared to other company models for those intending to operate directly within the UK.

Frequently Asked Questions (FAQ)

What is an LLP?

A Limited Liability Partnership (LLP) is a business structure that offers limited liability protection and pass-through taxation—the entity does not pay taxes, only the members do. Like corporations, an LLP exists legally as an entity separate from its owners. Therefore, owners are typically not held personally liable for business debts and obligations.

How can I pay 0% tax with an LLP?

A UK LLP can conduct business in the UK without restrictions.

However, doing so will generally result in a tax burden in the UK for the partners. Please note that selling services and products to UK customers from abroad through a UK LLP will generally not be considered conducting business in the UK and, therefore, will usually not create a UK tax liability. However, it may create a UK VAT tax obligation, depending on the nature of the products and services sold.

A UK LLP is a pass-through entity for tax purposes, meaning it is not a taxable entity itself. Instead, the partners (owners) must include their share of the profits in their own tax returns in their country of residence (personal or corporate).

When one or more partners are UK residents, they will be liable for UK taxes on their share of the LLP's worldwide profits, while non-resident partners will only be liable for UK taxes on their share of the LLP's UK profits. If no business is conducted in the UK and all partners are non-residents, no tax liability will exist in the UK.

Do I need a partner?

A UK LLP is a partnership structure. This means it must have at least two partners (all partners in an LLP are limited partners, unlike an LP with its combination of limited and general partners). Partners can be individuals, legal entities (such as a Holding LTD, for example), or a combination of both. There are no residency requirements for any of the partners.

How can I open a bank account?

Although the UK is home to some of the world's largest banks (HSBC, Standard Chartered, etc.), non-residents often find it difficult to open accounts for their LLPs.

As a result, it is recommended to use fintech services like Wise, Revolut, Juni, etc. They offer an excellent range of services in multiple currencies and are compatible with Stripe, PayPal, and more.

Speaking of which, a UK LLP can apply for a merchant account with most major payment processing services operating in the UK. The best of these for companies operating primarily in currencies other than GBP is Stripe (payments can be received in EUR, USD, CHF, etc.).

PayPal can also be used and linked to Wise and similar fintech services, but only in GBP.
